1. Acceptance of Terms

By accessing or using Relayra Solutions ("Relayra", "Service", "Platform"), you ("School", "you") agree to be bound by these Terms of Service. If you do not agree, do not use our Service.

2. Description of Service

Relayra is a WhatsApp-based communication and fee management platform designed for educational institutions in India. The Service includes:

  • Automated fee reminders via WhatsApp
  • Attendance tracking and alerts
  • Two-way parent communication
  • Administrative dashboards
  • Reports and analytics
  • AI-assisted message drafting

3. Eligibility

The Service is intended exclusively for:

  • Registered educational institutions in India (schools, colleges, coaching institutes)
  • Authorized representatives of such institutions
  • Schools that have obtained necessary consents from parents/guardians for digital communication

You may not use the Service if you are:

  • An individual using it for personal purposes
  • An entity outside India (without prior written consent)
  • A previously banned user

4. Account Registration

When you create an account, you must:

  • Provide accurate, complete information
  • Maintain the confidentiality of your credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts with false information.

5. Subscription, Pricing, and Payments

Subscription Tiers

Relayra offers tiered subscription plans (Starter, Growth, Pro, Enterprise) based on student count. Current pricing is available at https://relayrasolutions.com.

Payment

  • All payments are processed via Razorpay
  • Subscription fees are billed monthly or annually as selected
  • All fees are in Indian Rupees (Rs.) and exclusive of applicable taxes (GST)
  • Failed payments may result in service suspension after 7 days

Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial periods

Refunds

We do not offer refunds except where required by Indian consumer protection law.

6. Acceptable Use

You agree NOT to:

  • Use Relayra to send spam, unsolicited messages, or content that violates WhatsApp Business Policy
  • Send messages to parents without proper consent
  • Upload illegal, defamatory, or copyright-infringing content
  • Attempt to reverse-engineer, hack, or disrupt the Service
  • Resell or sublicense the Service without permission
  • Use the Service for any unlawful purpose
  • Send promotional content disguised as utility messages

Violations may result in immediate suspension and potential legal action.

7. WhatsApp Business Policy Compliance

By using Relayra, you agree to comply with Meta's WhatsApp Business Policy. You acknowledge that:

  • All messages sent via Relayra are subject to Meta's quality monitoring
  • Excessive parent reports may result in restricted messaging tier
  • You are responsible for the content of messages you send
  • Meta may suspend WhatsApp access independently of Relayra

8. School Responsibilities

You are responsible for:

  • Obtaining valid consent from parents/guardians before uploading their contact information
  • Ensuring data accuracy
  • Maintaining records of parent consent
  • Notifying parents about the platform and how their data is used
  • Following the DPDP Act and applicable Indian laws
  • Maintaining your own WhatsApp Business phone number and Meta Business account

9. Our Responsibilities

We commit to:

  • Provide the Service as described
  • Maintain reasonable uptime (target 99.5%)
  • Protect your data per our Privacy Policy
  • Notify you of significant service changes
  • Respond to support requests within 24 business hours

10. Intellectual Property

  • Relayra owns all rights to the platform, code, branding, and design
  • You retain ownership of data you upload
  • You grant us a limited license to use your data solely for providing the Service
  • You may not copy, modify, or distribute our platform

11. Data Ownership

  • Your data (student records, parent contacts, messages, fee records) belongs to you
  • We are data processors acting on your behalf
  • You may export your data at any time (feature available within the dashboard)
  • Upon termination, your data is retained for 90 days then deleted, unless legally required to retain

12. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:

  • Scheduled maintenance (notified in advance)
  • Third-party service outages (WhatsApp, Razorpay, Supabase, etc.)
  • Force majeure events

13. Termination

By You

You may terminate by cancelling your subscription within the dashboard.

By Us

We may terminate or suspend your account if you:

  • Breach these Terms
  • Fail to pay fees
  • Engage in fraudulent or illegal activity
  • Violate WhatsApp Business Policy

We will provide reasonable notice except in cases of severe violations.

14. Disclaimers and Liability

The Service is provided "AS IS" without warranties of any kind. We do not warrant that the Service will be error-free or that messages will always be delivered (WhatsApp delivery depends on Meta and recipient device status).

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for any loss arising from third-party service failures

15. Indemnification

You agree to indemnify and hold harmless Relayra from claims arising from:

  • Your breach of these Terms
  • Your violation of any law
  • Your violation of parent rights or WhatsApp policy
  • Content you upload or send via the Service

16. Governing Law and Miscellaneous

These Terms are governed by the laws of India, with exclusive jurisdiction in the courts of Bareilly, Uttar Pradesh.

We may update these Terms by posting an updated version. Material changes will be notified via email. Continued use after changes constitutes acceptance.

If any provision is found unenforceable, the remaining provisions remain in effect.
